1. Acceptance of Terms

By downloading, installing, or using the Spot application ("App"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not use the App. These Terms constitute a legally binding agreement between you and Spot ("we," "us," or "our").

2. Eligibility

You must be at least 18 years of age to use Spot. By using the App, you represent and warrant that you are 18 or older. We reserve the right to terminate accounts of users found to be under 18.

3. User Conduct

You agree to use Spot only for lawful purposes and in a manner consistent with these Terms. You agree not to:

• Harass, threaten, stalk, or harm any other user
• Impersonate any person or misrepresent your identity
• Post false, misleading, or fraudulent information
• Use the App to solicit money or engage in commercial activity
• Attempt to gain unauthorized access to any part of the App
• Use the App for any illegal purpose

4. Workplace and Professional Relationships

Spot is a proximity-based social discovery platform. Users are solely responsible for their interactions with other users, including any interactions that may occur between colleagues, coworkers, or individuals sharing a professional relationship. By using Spot, you acknowledge and agree that:

• Spot does not screen users for professional relationships, employment status, or organizational affiliations
• You are solely responsible for understanding and complying with your employer's policies regarding personal relationships in the workplace
• Spot expressly disclaims any liability arising from romantic, social, or personal interactions between coworkers or colleagues that originate through the App
• Any workplace conflicts, HR matters, disciplinary actions, or employment consequences arising from connections made through Spot are solely your responsibility
• You should exercise personal judgment and discretion when using proximity features in professional environments
• Spot does not facilitate, encourage, or endorse any specific type of relationship between users

5. Location and Privacy

Spot uses your device's location to show approximate distances to nearby users. Your exact GPS coordinates are never shared with other users — only an approximate distance (e.g., "~30 ft") is displayed. Precise location data is only used for emergency safety features and is never stored on our servers for any other purpose. By using the App, you consent to this limited use of your location data as described in our Privacy Policy.

6. Emergency Safety Features

Spot includes optional emergency features including shake-to-alert and the ability to pre-fill emergency service communications with your location. These features are provided as a convenience only. Spot makes no warranty that these features will function in all circumstances.

7. Visibility Timer and Location Features

Spot offers an optional visibility timer that allows users to remain visible on the platform for a set duration. By using this feature, you acknowledge and agree that:

• You are solely responsible for managing your own visibility settings, including setting, extending, or canceling any visibility timer
• Spot provides automatic notifications as a courtesy reminder before and when your visibility timer expires — these notifications are not guaranteed to be received or seen
• Spot is not responsible for any consequences arising from your account remaining visible beyond your intended time, including but not limited to unwanted contact, location exposure, or privacy concerns
• The automatic invisible mode on app close and phone lock is a safety convenience — it is not a substitute for manually managing your visibility settings
• Any custom timer duration you set is your own choice and responsibility — Spot expressly disclaims liability for any outcome resulting from your visibility settings remaining active
• You should always verify your visibility status before leaving a location if privacy is a concern

15. User Content

You retain ownership of content you submit to Spot, including photos and profile information. By submitting content, you grant Spot a non-exclusive, royalty-free license to use, display, and store your content solely for the purpose of operating the App. You represent that you have the right to submit all content you provide.

15. Prohibited Content

You may not post or share content that is:

• Sexually explicit or obscene
• Hateful, discriminatory, or threatening
• Defamatory or invasive of another's privacy
• Infringing on any intellectual property rights
• Depicting anyone under the age of 18 in a romantic or sexual context

15. Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. You may delete your account at any time through the App settings.

15. Disclaimers

Spot is provided "as is" without warranties of any kind. We do not guarantee that the App will be available at all times or error-free. We are not responsible for the conduct of any user, whether online or offline. Meeting strangers carries inherent risks — always meet in public places and trust your instincts.

15. Limitation of Liability

To the fullest extent permitted by law, Spot and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the App, including but not limited to personal injury, property damage, romantic or professional relationship consequences, or data loss.

15. Indemnification

You agree to indemnify and hold harmless Spot and its affiliates from any claims, damages, losses, or expenses arising from your use of the App, your violation of these Terms, or your interactions with other users.

15. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Lubbock County, Texas.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes through the App or by email. Continued use of the App after changes constitutes acceptance of the updated Terms.
